Terms of Service
These terms govern your use of FareChance Premiere, the self-serve advertising and venue profile platform operated by FareChance.
1. Acceptance of Terms
By creating an account or using FareChance Premiere, you agree to be bound by these Terms of Service. If you are acting on behalf of a business, you represent that you have authority to bind that business to these terms. If you do not agree, do not use the platform.
2. Description of Service
FareChance Premiere is a subscription-based platform that allows restaurant and venue owners to manage a public-facing venue profile and create advertising campaigns ("Spotlight Cards") that appear within the FareChance mobile application. The platform includes profile management tools, campaign creation, analytics, and billing.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to terminate accounts that contain false or misleading information.
4. Subscription and Billing
- Plans. Premiere is available on monthly ($12/month) and annual ($100/year) subscription plans. Pricing is subject to change with advance notice.
- Billing. Subscriptions are billed through Stripe. By providing payment information, you authorize FareChance to charge your payment method on a recurring basis.
- Cancellation. You may cancel your subscription at any time through the Billing section of your dashboard. Access continues until the end of the current billing period. No partial refunds are issued.
- Credits. Promotional credits applied to your account are non-transferable, have no cash value, and expire at account termination.
- Ad spend. Campaign impressions are billed against your credit balance at the applicable CPM rate. You are responsible for ensuring sufficient credits to fund active campaigns.
5. Content and Campaign Policies
You are solely responsible for all content you upload, including venue photos, campaign copy, and promotional offers. You agree not to submit content that:
- Is false, misleading, or deceptive
- Infringes the intellectual property rights of any third party
- Promotes illegal products, services, or activities
- Contains offensive, hateful, or discriminatory material
- Violates any applicable law or regulation
FareChance reserves the right to review, reject, or remove any campaign or profile content at its sole discretion. Campaigns are subject to an approval process and may not run immediately upon submission.
6. Intellectual Property
FareChance Premiere and its underlying technology remain the exclusive property of FareChance. By uploading content to the platform, you grant FareChance a non-exclusive, royalty-free license to display that content within the FareChance app and related marketing materials for the purpose of operating the service.
7. Prohibited Uses
You may not: (a) use the platform for any unlawful purpose; (b) attempt to gain unauthorized access to any system or account; (c) reverse-engineer, decompile, or copy any part of the platform; (d) use automated means to access or scrape the platform; (e) resell or sublicense access to the platform without written authorization.
8. Disclaimer of Warranties
The platform is provided "as is" and "as available" without warranties of any kind, express or implied. FareChance does not guarantee that the service will be uninterrupted, error-free, or that any specific campaign performance outcomes will be achieved.
9. Limitation of Liability
To the maximum extent permitted by law, FareChance's total liability for any claim arising from these terms or your use of the platform will not exceed the amount you paid in the three months preceding the claim. FareChance will not be liable for any indirect, incidental, special, or consequential damages.
10. Termination
Either party may terminate these terms at any time. FareChance may suspend or terminate your account immediately for violation of these terms, non-payment, or any conduct we determine to be harmful to users, third parties, or the platform. Upon termination, your access to the platform will cease and any remaining credits will be forfeited.
11. Governing Law
These terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dane County, Wisconsin.
12. Changes to These Terms
We may update these terms from time to time. We will notify active subscribers of material changes by email. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
